We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.
3. Eligibility
To use our services, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Provide accurate and complete registration information
- Be a U.S. citizen or legal resident for certain services
- Not be prohibited from using our services under applicable law

5.5 Refund Policy
We offer a 30-day money-back guarantee for new subscribers. If you are not satisfied with our services within the first 30 days of your initial subscription, you may request a full refund. Refunds are not available for:
- Renewal payments after the initial 30-day period
- Partial months of service
- Services already rendered (e.g., tax filing, consultation sessions)
- Violations of these Terms resulting in account termination

6. Cancellation and Termination
6.1 Cancellation by User
You may cancel your subscription at any time through your account settings or by contacting customer support. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until that time. No refunds will be provided for partial billing periods.
6.2 Termination by Company
We reserve the right to suspend or terminate your account and access to our services at our sole discretion, without notice, for conduct that we believe:
- Violates these Terms or applicable law
- Could harm our business, reputation, or other users
- Involves fraudulent or illegal activity
- Interferes with others' use of our services

- Costs of substitute services
- Business interruption
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER.
Some jurisdictions do not allow the limitation of liability for consequential damages, so the above limitation may not apply to you.
12. Disclaimers and Warranties
OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

You agree to indemnify, defend, and hold harmless Your Tax Base and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

- Your violation of these Terms
- Your violation of any rights of third parties
- Your violation of applicable laws or regulations
- Any false or misleading information you provide
- Tax audits, penalties, or liabilities resulting from your use of our services
14. Dispute Resolution and Governing Law

14.3 Arbitration Agreement

The arbitration shall take place in Florida, and judgment on the arbitration award may be entered in any court having jurisdiction.
Class Action Waiver: You agree to resolve disputes with us on an individual basis only. You waive any right to participate in class action lawsuits or class-wide arbitration.

Either party may seek injunctive or equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.
